Terms of Use

These Creator Terms of Use (“Terms”) form a binding agreement between you (or the organization, company, or entity you represent) (“Creator”, “you”, or “your”) and Soriz Digital Private Limited (“Soriz”, “we”, “us”, or “our”).

These Terms govern your access to and use of Soriz’s creator tools and services (“Creator Services”), including AI persona creation, deployment, monetization features, and related functionality.

By registering a Creator account, accessing the Creator Services, or clicking “I Agree,” you accept these Terms and create a legally binding contract with Soriz. You represent and warrant that you have the full legal authority to bind yourself or your organization to these Terms.

Changes to Terms

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform or via email. Your continued use of the Creator Services after such notice constitutes your acceptance of the revised Terms. If you do not agree to any changes, you must stop using the Creator Services immediately.

Services and Support

Access to Creator Services

Subject to these Terms, Soriz grants you access to theCreator Servicesthrough our platform

We may modify the Creator Services at any time for business, technical, or legal reasons. We will provide reasonable advance notice when possible, except for urgent security updates. You authorize Soriz to make your AIPersonasavailable to end users on our platform, including featuring them in search results, recommendations, or promotional areas.

Eligibility and Account

To become a Creator, you must:

Be at least 18 years old and legally capable of contracting
Have an active Soriz account in good standing
Provide required onboarding information

We may approve, refuse, or revoke Creator status at our discretion.

Accurate Information

You must provide true, accurate, and updated information at all times.

Account Security

You are responsible for maintaining account confidentiality and all activities under your account. Notify us immediately of unauthorized access.

Relationship Between You and Soriz

Independent Contractor

You act as an independent contractor, not as Soriz’s employee, agent, partner, or joint venturer. These Creator Terms do not create any employment, agency, franchise, or partnership relationship.

No Authority to Bind

You have no authority to bind Soriz in any contract or to make any representation on Soriz’s behalf to users or brand partners, unless expressly authorized in writing.

Creator Content and Data

Creator Content

To build AIPersonasor use Creator Services, you (or anyone accessing Creator Services under your account, “Authorized Users”) may upload content including images, voice recordings, videos, text, personal likenesses, or other materials (“Creator Content”).

You are fully responsible for:

Ensuring content is legal and accurate
Complying with all laws
Obtaining required rights and permissions

Sorizmay process Creator Contentto extract biometric information (voice patterns, facial features) needed to create realistic Personas. By accepting these Terms, you consent to this processing as described in ourBiometric Information Notice. You warrant that you own or have permission for all biometric data uploaded.You must ensure Authorized Users comply with these Terms.

Persona Operation and Outputs

Personas built from your Creator Content are “Your Personas.” When end users interact with Your Personas, they provide “User Inputs,” and Your Personas generate “Persona Outputs” in response.

Important disclaimers:

Persona Outputs are AI-generated and may contain errors, inaccuracies, or harmful content
Soriz doesnot verify, test, or endorse Persona Outputs or Creator Content.
Similar inputs may produce similar outputs across different Personas.
Youmust independently review Persona Outputsbefore relying on them.
Soriz is not responsiblefor inaccuracies in Creator Content, User Inputs, or Persona Outputs.

Ownership and License

You own your Creator Content (and all IP rights in it)

Soriz gets a limited license to use, copy, modify, and process Creator Content only to:

Provide Creator Services;
Operate and improve your Personas; and
Comply with legal obligations.

This license ends when you remove Creator Content (except for backups and legal retention).

Creator Responsibilities and Restrictions:

You are fully responsible and liable forall activitiesunder your Creator account, including:

All uses of Creator Services;
Your AI Personas and their outputs; and
Actions (or inactions) of anyone using your account (Authorized Users).

You must ensure Authorized Users comply with these Terms.

End users interact with your Personas through our Platform, subject to your visibility settings. You control:

Persona behavior and response style; and
Content restrictions or filters for outputs.

Prohibited Activities

You (and your Authorized Users)must not:

Reverse engineer, decompile, or extract Soriz technology, AI models, or algorithms (except where prohibited by law);
Copy, modify, or create derivative works from Creator Services without written permission;
Misuse Creator Services;
Remove Soriz branding, copyright, or proprietary notices;
Use Personas/Creator Services totrain competing AImodelsor extract model data;
Generate illegal, infringing, or harmful content intentionally; or
Violate laws (privacy, IP, consumer protection, advertising disclosure, etc.).

You must promptly report unauthorized use and cooperate with Soriz to stop it.

You agree to provide personnel, information, and assistance reasonably requested by Soriz to deliver Creator Services.

Indemnity

You will indemnify and hold Soriz harmless from all claims, damages, losses, liabilities, costs, and attorney fees arising from:

Your Creator Content;
Your (or Authorized Users’) use of Creator Services; and
Violations of laws or these Terms.

Soriz may (but is not required to):

Monitor persona activity and Creator Content; and
Remove content or suspend access for violations.

You are responsible for securing your account, passwords, and files. Notify us immediately of unauthorized access.

Soriz is not responsible for:

Third-Party services performance or availability;

Data exchanges between you and third parties; and
Third-party terms, privacy practices, or security.

Your interactions with third parties are governed solely by their terms.

Compliance with Brand and Advertising Rules

Confidentiality

Each party (“Receiving Party”) may receive confidential information from the other party (“Disclosing Party”) about its technology, business operations, or other proprietary matters (“Confidential Information”).

The Receiving Party agrees to:

Keep Confidential Information strictly confidential and not disclose it to third parties
Limit access to employees or contractors who need to know for legitimate business purposes under these Terms
Protect it using at least the same safeguards used for its own confidential information (but no less than reasonable care)

Exceptions(information isnot confidential if you can prove it):

Was already publicly available (not due to your actions);
You already knew it before disclosure (without confidentiality obligations);
A third party lawfully disclosed it to you (without restrictions); and
You independently developed it without using the other party’s information.

Required Disclosures: You may disclose if compelled bycourt order or government authority, provided you give the Disclosing Partyreasonable prior noticeto contest it.

Soriz Aggregation Rights: Soriz may collect and analyzeaggregated, anonymized datafrom all users to improve services and for business analytics.

Creator Content: YourCreator Contentis your Confidential Information. Soriz doesnotwant to receive unrelated confidential business information beyond what is necessary to provide Creator Services. Unless we specifically agree otherwise, any extra information you share isnottreated as confidential.

Soriz may retain Confidential Information as legally requiredfor:

Compliance with laws or regulations;
Internal audits or compliance programs; or
Automatic backups/archiving(per our standard retention policies).

Intellectual Property Rights

Soriz (and its licensors) owns all rights, title, and interestin:

Creator Services;
Platform technology (AI models, algorithms, code, datasets, infrastructure); and
Any improvements, modifications, or derivatives (“Soriz IP”)

You own all rights in your Creator Content. You grant Soriz a worldwide, royalty-free, non-exclusive, sublicensable license to:

Use, copy, modify, display, and distribute Creator Content;
Build, host, and operate your AIPersonas; and
Feature personas publicly on the platform (e.g., search, recommendations).

Subject to these Terms, Soriz grants you alimited, non-exclusive, non-transferable, revocable licenseto access and use Creator Services during your account term.

We may update Creator Services without materially degrading core functionality. Your Personas are exclusive to you—Soriz won’t reuse them for other customers.

Any feedback, suggestions, or ideas you provide about Creator Services become Soriz’s property (without compensation). You assign all rights to Soriz and waive moral rights.

Your Warranties and Indemnity
- You own or have rights to all Creator Content.
- Soriz processes it only to provide Creator Services.

If Soriz receives claims that your Creator Content infringes third-party rights, Soriz may suspend it (without liability). You indemnify Soriz for all resulting damages, costs, settlements, and attorney fees.

Compliance with Brand and Advertising Rules

If you engage in campaigns or brand collaborations through the Platform, you must:

Comply with applicable advertising and endorsement laws.
Make all legally required disclosures.
Follow any campaign‑specific instructions, brand guidelines, and contractual obligations agreed with brand partners.

Subscription and Payments

Subscription Fees

You agree to pay Soriz the subscription fees shown on____________ (“Subscription Fees”). Fees cover your access to Creator Services, including AI persona creation, deployment, analytics, and basic support.

How billing works:

Fees gets displayedbeforeyou confirm purchase.
We useRazorpaylinked to your billing method.
Auto-renewalenabled by default; cancel anytime in account settings.
All paymentsnon-refundableexcept as required by law.

Latepayments:If fees are overdue

1% monthly interest(or legal maximum).
You pay ourcollection costs(attorneys, agencies).
After10 days, we maysuspend your accountuntil paid.

Payment disputes governed by Payment Processor terms.

Your Creator Revenue

If and when users pay to interact with your Personas (subscriptions, tips, etc.), you earn arevenue shareas shown on your Creator dashboard or pricing page (“Creator Revenue”).

Payouts require completetax/payment information(bank details, tax ID).

Taxes

All fees exclude applicabletaxes. You pay:

Allindirect taxes; and
Withholding taxes(you cover full amount owed to Soriz).

Provide validtax exemption certificatesto avoid charges. Soriz handles onlyits own income taxes.

Suspension of Creator Access

Suspension by Soriz

Without limiting any other rights, Soriz may, with or without notice, suspend or restrict your Creator account, individual Personas, monetization features, or specific campaigns if:

You violate these Creator Termsor applicable laws.
Your Persona or Creator Content is alleged or appears to infringe third‑party rights or otherwise pose legal, regulatory, or reputational risk.
There are indications of fraud, abuse, or security issues related to your account.
Required by law, court order, or governmental authority.

Term and Termination

These Creator Terms remain effective until your account is terminated by you or Soriz (see below).

Termination by Soriz

Soriz may terminate or suspend your Creator account and Services with30 days written noticeif you:

Breach these Terms (including non-payment)
Upload illegal/infringing Creator Content
Engage in fraud, abuse, or security violations

If youfully curethe breach within 30 days, termination is avoided.

Upon termination:

You shall immediately stopusing Creator Services and personas;
Delete all Soriz IP(software, documentation) from your systems; and
Certify in writingto Soriz that you have destroyed all copies.

Creator Content handling:

You may request6-month paid storagepost-termination, otherwise, Soriz will delete the Creator Content (subject to legal retention).
There will be no refundsfor prepaid fees.

Software Security Warranty

Soriz warrants that Creator Services software will not knowingly contain:

Malware (viruses, trojans, ransomware);
Disabling code (time bombs, backdoors); or
Security vulnerabilities that harm networks, devices, or user data.

If you discover a breach of this warranty:

Notify Soriz in writing immediately.
Soriz will correct the issue within 30 days OR provide an acceptable remediation plan.
If unresolved after 30 days, you may terminate your account (your only remedy).

No Warranty

To the maximum extent permitted by applicable law:

The Creator Services, monetization features, and platform are provided on an “as is” and “as available”
Soriz disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Soriz does not warrant that the Creator Services or monetization features will be uninterrupted, error free, secure, or available at any particular time, or that any defect will be corrected.
Soriz does not warrant the behavior, decisions, or actions of users, nor does it guarantee that you will earn any particular amount of revenue (or any revenue at all).
Where applicable law does not allow the exclusion of certain warranties, the above exclusions shall apply to the fullest extent permitted by law.

Limitation of Liability

To the maximum extent permitted by applicable law, Soriz and its affiliates, officers, directors, employees, agents, and licensors will not be liable to you for any:

Indirect, incidental, consequential, special, exemplary, or punitive damages.
Loss of profits, revenues, goodwill, data, or business opportunities.
Business interruption or loss of anticipated savings.
Damages resulting from your reliance on AI outputs, user conduct, or Platform downtime.

These limitations apply whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if Soriz has been advised of the possibility of such damages.

Aggregate Liability Cap

To the maximum extent permitted by applicable law, Soriz’s total aggregate liability arising out of or relating to these Creator Terms, the Creator Services, or the Platform (whether in contract, tort, or otherwise) will be limited to USD 100 (one hundred U.S. dollars) or the equivalent in local currency.

If applicable law does not permit a limitation to this extent, Soriz’s liability will be limited to the minimum extent permitted by such law.

Governing Law

These Creator Terms andall disputesarising from them will be governedexclusively by the laws of India, without regard to conflict of laws principles. Courts and arbitration inNew Delhi, Indiahaveexclusive jurisdiction.

Dispute Resolution

Informal Resolution: The complaining party must first send written notice to legal@soriz.com detailing:

Nature of dispute
Relief sought
Relevant account/transaction details

Both parties agree to negotiate ingood faith for 60 days. Legal time limits pause during this period.

Binding Arbitration in India:

Except as provided below, all disputes will be resolvedexclusively by binding arbitrationinNew Delhi, Indiaunder:

Arbitration and Conciliation Act, 1996(as amended)
Administered byDelhi International Arbitration Centre (DIAC)
Single arbitrator, English language, conducted virtually or in New Delhi

Miscellaneous

Entire Agreement: These Creator Termsconstitute the entire agreement between you and Soriz regarding your activities as a Creator.
Severability: If any provision of these Creator Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
No Waiver: Failure by Soriz to enforce any right or provision does not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Creator Terms without Soriz’s prior written consent. Soriz may freely assign or transfer these Creator Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.
Force Majeure: Soriz will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet failures.
